Job Responsibilities:
- Participates in the development of the branch’s internal legal documents within the scope of official duties.
- Reviews the legality of regulations, instructions, orders, directives, and other legal documents submitted to the Branch Director.
- Monitors compliance with the established procedure for coordinating legal documents by responsible employees of the branch.
- Provides legal opinions and recommendations regarding the repeal or amendment of internal regulatory documents in connection with changes in the legislation of the Republic of Uzbekistan.
- Submits proposals aimed at preventing and eliminating violations of law within the branch and its structural subdivisions.
- Proposes and participates in activities designed to improve the legal awareness and legal culture of branch employees.
- Informs branch management about newly adopted regulatory legal acts and explains their content and significance.
- Provides practical assistance and necessary information to branch employees in locating legal documents related to the branch’s activities.
- Analyzes the branch’s contractual activities, prepares legal opinions on draft agreements, proposes amendments and revisions, and monitors contract execution by structural divisions.
- Organizes the registration and review of claims received from counterparties, prepares responses to such claims, and drafts relevant legal opinions.
- Reviews claims and lawsuits submitted against the branch, prepares legal submissions, and participates in court proceedings.
- Participates in preparing documentation related to the safeguarding of the branch’s assets, including instructions, material liability agreements, and related reporting documents.
- Reviews the legality of employee dismissals, transfers, and disciplinary actions.
- Participates in internal investigations concerning complaints and reports related to violations of law or abuse of official authority.
- Conducts legal reviews of documents submitted for approval or examination to ensure compliance with legislation and the absence of corruption-related risks.
- Analyzes cases of misappropriation or theft of branch assets, takes preventive measures, and prepares materials for submission to law enforcement authorities.
- Conducts awareness activities aimed at preventing corruption risks and ensuring compliance with anti-corruption requirements.
- Explains the Company’s anti-corruption policies, approaches, and control procedures incorporated into business processes to the branch’s structural divisions.
- Performs duties assigned by the Company’s management and the Branch Director in accordance with the legislation of the Republic of Uzbekistan.
- Participates in activities aimed at preventing legal violations and strengthening compliance with legal requirements in the branch’s operations.
- Provides information and reports upon request of the Company’s Legal Department
Required Skills and Qualifications:
- The position shall be filled by a specialist possessing a higher legal education and at least three years of professional experience as a Legal Counsel.
- The candidate must have knowledge of:
- the regulatory and legal framework of the Republic of Uzbekistan governing the financial, economic, and production activities of business entities;
- the Civil Code, Administrative Legislation, and Criminal Procedure Legislation of the Republic of Uzbekistan;
- procedures and legal requirements for filing claims and lawsuits;
- procedures for drafting, concluding, and documenting commercial contracts, collective agreements, and tariff agreements;
- modern information technologies, including systems for maintaining, storing, and managing up-to-date legal documents and databases;
- fundamentals of economics, occupational health and safety regulations, production management, and organizational management principles;
- professional business communication standards;
- fundamentals of labor legislation;
- principles of corporate governance;
- the structure of public administration bodies, judicial authorities, law enforcement agencies, and local self-government institutions.
- Knowledge of the Russian language is considered an advantage.
Working Conditions:
- Official employment based on an employment contract.
- Five-day working week (Monday through Friday), with Saturday and Sunday as days off.
- Working hours: from 09:00 to 18:00, Monday to Friday, including a lunch break.
- Annual paid leave and other social guarantees in accordance with the Labor Code of the Republic of Uzbekistan.
- Business trips and on-site inspections may be required in the course of performing official duties.
